These Terms set out the agreement between Veyro Media and our padel club partners. Please read them carefully before commissioning any work.

1. Acceptance of Terms

These Terms of Service ("Terms") govern the engagement between Veyro Media ("Veyro", "we", "us") and the padel club, organisation, or individual ("Client", "you") that commissions our marketing services. By signing a proposal, accepting a quote, or paying an invoice, you agree to these Terms. If you do not agree, you must not proceed with any engagement.

2. Scope of Services

Veyro provides digital marketing services tailored to UK padel clubs, including but not limited to social media management, paid media, email marketing, content creation, and performance reporting. The specific deliverables for each engagement are defined in the agreed proposal, statement of work, or retainer schedule referenced at the start of the engagement. Any work outside that scope will be quoted separately.

3. Client Responsibilities

To deliver effectively, the Client agrees to provide timely access to brand assets, social accounts, ad accounts, and any information reasonably required. The Client is responsible for the accuracy of supplied information and for obtaining necessary rights to content, imagery, and logos it provides. The Client will appoint a single point of contact for approvals and feedback, and will respond to approval requests within a reasonable period.

4. Content Approval & Revisions

Content will be submitted through the Veyro client dashboard for approval before publication. Approval granted within the dashboard constitutes sign-off for publication. Revision requests are captured on the relevant content record and are included within the scope of the agreed deliverable. Where revision requests materially change scope or direction beyond the original brief, additional fees may apply, which will be quoted before work proceeds.

5. Fees, Invoicing & Payment

Retainer fees are invoiced monthly in advance and are due within seven (7) days unless otherwise stated on the invoice. One-off projects are invoiced on the schedule set out in the relevant proposal. All fees are stated in GBP and exclusive of VAT where applicable. Late payment may result in the suspension of work until outstanding invoices are settled.

6. Term & Termination

Retainer engagements run for an initial term specified in the proposal and renew on a rolling monthly basis thereafter. Either party may terminate a retainer with thirty (30) days' written notice. Veyro may terminate immediately in the event of non-payment, breach of these Terms, or conduct that brings the agency into disrepute. Fees for work completed up to the termination date remain payable.

7. Intellectual Property

Upon full payment of all relevant invoices, the Client is granted a perpetual licence to use the content created for its campaigns for its own promotional purposes. Veyro retains ownership of underlying creative concepts, templates, and methodology, and may use the Client's name and campaign work for portfolio and case-study purposes unless the Client requests otherwise in writing.

8. Confidentiality

Each party agrees to keep confidential any non-public information shared during the engagement, including commercial terms, member data, and campaign strategy. This obligation survives termination of the engagement.

9. Data & Compliance

The Client warrants that any audience or member data it provides has been collected in compliance with applicable UK data protection law, including the UK GDPR. Veyro will process such data only as necessary to deliver the agreed services and in line with its role as a processor.

10. Limitation of Liability

Veyro provides marketing services on a best-efforts basis. To the maximum extent permitted by law, Veyro is not liable for indirect or consequential losses, nor for any loss of revenue, members, or goodwill. Our total liability arising out of any engagement is limited to the fees paid by the Client for that engagement in the three (3) months preceding the claim.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with them shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

Veyro may update these Terms from time to time. The version applicable to an engagement is the version published at the date that engagement is agreed. Continued use of the services after any update constitutes acceptance of the revised Terms.
